Terms of Service

1. Agreement to Terms

By accessing or using the GZ Cosmetics Lab website (gzcosmeticslab.com) or engaging our manufacturing services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

GZ Cosmetics Lab provides cosmetics OEM, ODM, Private Label, and CDMO manufacturing services. Our services include but are not limited to: formula development, product manufacturing, packaging, quality testing, and regulatory compliance assistance. Specific terms for each project are outlined in individual service agreements.

3. Quotations and Orders

• All quotations are valid for 30 days from the date of issue unless otherwise stated.
• Prices are subject to change based on raw material costs, quantity adjustments, or specification changes.
• An order is confirmed only upon receipt of the agreed deposit and signed purchase order or contract.
• Minimum order quantities (MOQ) apply as specified in the quotation.

4. Payment Terms

• Standard terms: 50% deposit upon order confirmation, 50% balance before shipment.
• Payment methods: T/T (Telegraphic Transfer), PayPal (for samples only), L/C (for orders above $50,000).
• All payments in USD unless otherwise agreed in writing.
• Late payments may incur a 1.5% monthly charge and may result in production delays.
• Sample fees and development fees are non-refundable but may be credited toward production orders as specified in your quotation.

5. Production and Delivery

• Production timelines are estimates and may vary based on order complexity, material availability, and seasonal demand.
• We maintain a 98% on-time delivery rate but are not liable for delays caused by force majeure events, shipping carrier issues, or client-side delays in providing approvals or materials.
• Shipping terms (FOB, CIF, etc.) are as specified in the quotation or contract.
• Risk of loss transfers to the buyer according to the agreed shipping terms (Incoterms 2020).

6. Quality Assurance

• All products are manufactured in accordance with ISO 22716, GMPC, and applicable regulatory standards.
• Quality inspection reports and Certificates of Analysis (COA) are provided with each shipment.
• Claims regarding product quality must be made within 14 days of receipt with supporting documentation (photos, test reports).
• We are not liable for quality issues arising from improper storage, handling, or use of products after delivery.

7. Intellectual Property

• Client-owned formulas remain the exclusive property of the client. We will not use, disclose, or reproduce client formulas for any other party.
• Formulas developed by our team (ODM/CDMO) remain our intellectual property until full payment is received, at which point IP transfers as specified in the contract.
• Our patented technologies (including DTSS®) are licensed for use in your products but remain our intellectual property.
• All parties agree to sign Non-Disclosure Agreements (NDA) before sharing confidential information.

8. Cancellations and Refunds

• Orders may be cancelled before production begins, subject to a 10% cancellation fee on the total order value.
• Once production has commenced, cancellation is subject to payment for all work completed and materials purchased.
• Custom packaging and materials ordered specifically for your project are non-refundable.
• Deposits are non-refundable unless we are unable to fulfill the order due to our fault.

9. Limitation of Liability

To the maximum extent permitted by law, GZ Cosmetics Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the amount paid by you for the specific order in question.

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions, war, strikes, supply chain disruptions, or utility failures.

11. Website Use

• Content on this website is for informational purposes only and does not constitute a binding offer.
• Product images and descriptions are representative and may vary from actual products.
• You may not reproduce, distribute, or commercially use our website content without written permission.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms or our services shall be resolved through negotiation first. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the new terms.
